Parties to the Agreement: This Agreement is entered into between you and Shenzhen Zhixin Chuangzhi Technology Co., Ltd. (conducting business under the name "Zicalstar", hereinafter referred to as "Zicalstar" or "we").
Scope of Application: These Terms apply to your use of the digital platforms owned, controlled, or operated by Zicalstar (including but not limited to the website (https://www.zicalstar.com/) and related applications, collectively referred to as the "Website"), as well as the products (such as calendars, hardware devices, etc.) and services (such as basic function services, premium membership services, etc., collectively referred to as "Products and/or Services") provided by Zicalstar. They also apply to all your relevant activities, including calling API interfaces through the platform, using applications, and using smart calendars.
Eligibility Restrictions: If you do not agree to these Terms, have not reached the legal age for entering into a contract (18 years old or the local legal age, whichever is higher), or are prohibited by applicable laws from accessing/using the Products and/or Services, you shall not subscribe to or obtain any Products and/or Services.
Method of Acceptance: By subscribing to Products/Services through the Website, clicking "I Agree" when registering for a Product, or continuing to use the Products and/or Services, you are deemed to have agreed to all contents of these Terms. Zicalstar may modify these Terms at any time and publish the updated version on the Website. The updated Terms shall be binding on your subsequent use activities.
Confirmation of Terms: Using Zicalstar applications, smart calendars, API interfaces, or any other Products and/or Services means that you have carefully read this Agreement, understood its terms and legal consequences. If you do not agree to any part of it, please do not use the relevant Products and/or Services.
Registration and Account Management: When registering for Products or Services, you need to create a personal profile and provide true and complete personal information. You own the ownership of all data, information, or materials ("Your Content") provided by you through the Products and/or Services. You are responsible for the security and confidentiality of your login identifier (ID) and all access and operation activities conducted using this ID. If you discover that your ID is being used without authorization, you must promptly notify Zicalstar and assist in terminating the relevant operations.
Intellectual Property Rights and Licenses:
Ownership: Materials provided by the Website, Products, and/or Services (including works protected by copyright, trademarks, software programs, interface designs, etc.) are owned by Zicalstar or third parties, and do not include Your Content.
Usage License: Zicalstar grants you a limited, personal, non-exclusive, and non-transferable license, which only allows you to obtain and use the above-mentioned materials for personal use purposes. If you breach these Terms, this license will automatically terminate, and you must immediately destroy the materials you have obtained.
Content Authorization: You grant Zicalstar a permanent and irrevocable license to use Your Content for the purpose of providing Products and/or Services. You warrant that you have legal rights to the content you upload. You shall not upload protected materials without the permission of the copyright owner. If Zicalstar or a third party suffers losses due to content infringement, you shall bear full responsibility.
Third-Party Content: For third-party content included in the Products and/or Services, you shall not download, modify, distribute, or use it for commercial purposes without the permission of the owner. Third-party content is provided "as is", and Zicalstar makes no warranties regarding its authenticity, legality, or completeness.
Usage Restrictions:
You shall not abuse the Products and/or Services, including but not limited to detecting system vulnerabilities, destroying security measures, interfering with the normal operation of the network, sending malware, accessing others' accounts or systems without authorization, and sending spam emails.
Restrictions on API Interface Usage: You shall comply with the principles of reasonableness and good faith, and only call the interface for realizing the functions agreed in this Service. You shall not damage the platform system security, affect service stability, or infringe the rights and interests of other users. "Bulk calling" is prohibited, including any interface calling method that may occupy excessive system resources and affect service quality (subject to Zicalstar's reasonable determination).
Pricing and Payment: All prices published on the Website are subject to change without prior notice. The pricing of Products or Services shall be based on the valid price at the time of placing the order, and shall be specified in the order confirmation. Price increases shall only apply to orders placed after the change. The published prices do not include taxes, shipping fees, and handling fees. All such fees shall be included in the total order amount and listed item by item in the shopping cart and order confirmation email. Zicalstar shall not be liable for any pricing, printing, or other errors in any quotation, and reserves the right to cancel any order caused by such errors. The payment terms are determined by Zicalstar at its sole discretion, and payment must be received before Zicalstar accepts the order. Some functions of Products and/or Services can only be used after purchasing a subscription (i.e., "Premium Membership"). When you purchase Products, Premium Membership, or any other Services (collectively referred to as "Transactions"), you explicitly authorize Zicalstar (or its third-party payment processor) to charge you the corresponding fees for such Transactions.
Changes to Products and Services:
Modifications and Updates: Zicalstar reserves the right to enhance or modify the Products (including software updates and hardware function adjustments) and/or Services. Some updates may be necessary for continued use, and you agree to automatically install such updates. Failure to install them may result in inability to use the Products and/or Services normally.
Suspension and Termination of Services: Zicalstar may temporarily suspend the Services in cases such as performing maintenance, responding to security threats, complying with legal requirements or the requirements of network service providers, and resolving user breaches. You may stop using the Products and/or Services at any time. Zicalstar has the right to suspend or terminate your usage rights at any time (e.g., if you breach these Terms), and will make every effort to notify you in advance and assist you in retrieving data. In special cases, suspension may be made immediately. In the event of major business adjustments or other matters that Zicalstar deems necessary, Zicalstar has the right to terminate the provision of Zicalstar Services and this Agreement by notifying users in writing, public announcement, or other reasonable methods 30 days in advance, without assuming any legal liability.
Beta Features: The provided beta (Beta) features may have additional terms and are provided "as is". Zicalstar may stop the Beta features at any time. After the suspension or termination of the features, you shall have no right to access them again, and the relevant data may be deleted.
Statistical Data and Third-Party Links: Zicalstar may use anonymous statistical data to improve the Products and/or Services and for marketing and promotion purposes, but such data shall not involve any personal identification information. The Website may contain links to third-party websites. Such websites are not controlled by Zicalstar, and Zicalstar shall not be liable for their content, privacy policies, or usage risks. When you access third-party websites, you are subject to their own terms of use, and you shall bear the risks of transactions with third parties.
Disclaimer Related to Hardware:
Warranty Disclaimer: To the maximum extent permitted by applicable law, the hardware provided by Zicalstar is delivered "as is" and may have known or unknown defects. The remedial measures stipulated in these Terms are the sole remedial measures and replace all other oral, written, statutory, express, or implied warranties, remedial measures, and conditions. To the extent permitted by law, Zicalstar excludes all statutory and implied warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose, as well as the warranty defense against latent defects.
Limitation of Liability: To the maximum extent permitted by applicable law, except as otherwise provided in this Warranty Clause, Zicalstar shall not be liable for direct, special, incidental, or consequential damages caused by breaches of the Warranty Clause or other clauses of this Agreement, including but not limited to loss of profits (including contract profits, actual or expected profits, business losses), loss of reputation, data loss/damage/leakage, and costs of retrieving or restoring information.
The above limitations shall not apply to claims for death or personal injury, or statutory liability arising from intentional or grossly negligent acts/omissions. Zicalstar does not warrant that the equipment can be repaired in accordance with the warranty terms, nor does it warrant that the information stored in the equipment is risk-free or loss-free during the repair process. Except in cases involving personal injury and where explicitly required by law, Zicalstar's total liability for damages to you shall not exceed USD 99.00. This limitation shall apply even if the above remedial measures fail to achieve their basic purposes (some states/counties/provinces may not allow the exclusion or limitation of incidental/consequential damages, in which case the local legal provisions shall prevail).
Disclaimer Related to Software and Services:
Warranty Disclaimer: To the maximum extent permitted by applicable law, you shall bear the risks of using this software and related services. You shall bear all risks regarding the quality, performance, accuracy, results of the software, and the stability of the services. The software and services are provided "as is" and "as available", without any express or implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. Zicalstar disclaims all statutory, express, or implied warranties and conditions related to the software and services (whether oral, written, or statutory). Zicalstar does not warrant that the use of the software and services will not interfere with your other operations, nor does it warrant that the software functions and service contents can meet your requirements, or that the operation/services are uninterrupted, error-free, or that defects can be corrected. The software and services are not designed for scenarios where failures, delays, errors, or inaccuracies may lead to death, personal injury, or serious physical damage, and Zicalstar shall not be liable for the risks in such scenarios. Any oral or written information or advice provided by Zicalstar or its authorized representatives shall not constitute an additional warranty (some jurisdictions may not allow the exclusion of implied warranties or the limitation of statutory rights, in which case the local legal provisions shall prevail).
Limitation of Liability: To the maximum extent permitted by applicable law, Zicalstar and its affiliates, agents, or principals shall not be liable for personal injury or any incidental or consequential damages caused by the use of the software and services, including but not limited to loss of profits, data loss/damage/leakage, business interruption, or other commercial damages (whether based on contract, tort, or other grounds, even if Zicalstar has been notified of the possibility of such damages). Some jurisdictions may not allow the exclusion or limitation of liability for personal injury or incidental/consequential damages, in which case the local legal provisions shall prevail. Except in cases involving personal injury and where explicitly required by law, Zicalstar's total liability for damages to you shall not exceed USD 99.00. This limitation shall apply even if the above remedial measures fail to achieve their basic purposes.
Disclaimer for Content: When you use the media sharing function of the device, you may encounter offensive, unethical, or inappropriate content (including explicit language or content). You shall bear the relevant risks, and Zicalstar shall not be liable for any content you obtain on the device. Even though Zicalstar strives to provide a good user experience, it cannot guarantee that the Services will always be safe, error-free, or free from delays, interruptions, or defects.
Ownership of Feedback: Feedback provided by you related to the Products and/or Services (including suggestions, opinions, improvement plans, etc.) shall be owned by Zicalstar. You agree to transfer the relevant rights to such feedback and assist Zicalstar in improving or implementing the relevant plans.
Force Majeure: Neither party shall be liable for failure to perform the Agreement due to force majeure (such as natural disasters, wars, etc., excluding shortage of funds). If the performance is affected for more than 90 days, the unaffected party shall have the right to terminate the Agreement by written notice.
General Provisions: These Terms constitute the entire agreement between you and Zicalstar, and replace all previous relevant agreements or arrangements. This Agreement does not create any third-party beneficiary rights.
Liability for Unauthorized Activities: Your use of the Products and/or Services and third-party content in breach of these Terms may be illegal, and you shall defend and compensate Zicalstar and other indemnified parties for the losses suffered due to your actions. Zicalstar may report illegal activities and cooperate with relevant authorities in investigations.
Reservation of Intellectual Property Rights: Zicalstar reserves all intellectual property rights related to the Products and/or Services. No rights not explicitly granted to you under this Agreement shall be transferred.
Dispute Resolution: The formation, effectiveness, performance, and dispute resolution of this Agreement shall all be governed by the laws of the People's Republic of China. Relevant disputes shall first be resolved through friendly negotiation. If negotiation fails, the disputes shall be submitted to the court with jurisdiction located in the place where Zicalstar is registered for litigation.
